Advertising Addendum

This Addendum governs homepage billboard placements. It adds to the Dealer Terms of Service, which continue to apply. You accept it once, before your first bid. The creative standards in Section A3 are the part to read closely — payment, APR, financing, and lease terms are not permitted, because the disclosures those trigger cannot be shown legibly on a homepage image.

This adds to your Dealer Terms. The Dealer Terms of Service continue to apply in full. You accept this Addendum once, before your first billboard bid — it isn't part of dealer signup, because dealers who never advertise shouldn't be agreeing to advertising terms.

A1. Scope

A1.1 What this covers

This Advertising Addendum (the "Addendum") governs your participation in homepage billboard placements on the Qarvis Service. It adds to the Dealer Terms of Service, which continue to apply in full. Where the two conflict as to billboard advertising, this Addendum controls.

A1.2 When you are bound

You accept this Addendum before your first bid. Acceptance covers every bid, standing bid, and creative you submit afterwards, until we publish a materially changed version and ask you to accept it again.

A1.3 Authority

The individual accepting represents that they are authorized to bind the Dealer and to commit the Dealer's credit balance.

A2. How the Auction Works

A2.1 Sealed bids

Each city and date is a separate sealed-bid auction. You will not be shown other bids, the number of bidders, or the price to beat while an auction is open. Bids open seven (7) days ahead and close at 8:00 PM local time in the city being bid on, on the day before the placement runs.

A2.2 What you pay

The highest eligible bid wins. The winner is charged just above the runner-up's bid, never more than the winner's own bid. Where a bid is unopposed, the winner is charged that city's starting price. Identical top bids resolve to the earlier submission, in which case the winner pays their full bid.

A2.3 Bids are binding at close

You may cancel a bid at any time before the auction closes. Once it closes, your bid is irrevocable. Other dealers price their bids against the field, and a bid withdrawn after close has already affected an outcome that cannot be re-run.

A2.4 Credits are held, then spent

Placing a bid holds credits against your balance. Held credits are not spent and not available for anything else. Credits are released in full if you lose, cancel before close, or are not awarded the placement. Credits are spent only when you win.

A2.5 Standing bids

A standing bid places a new bid each day as dates open, at the amount you set, until you cancel it. Cancelling a standing bid does not withdraw bids it has already placed — cancel those individually while their auctions remain open.

A2.6 Starting prices may change

Starting prices vary by city and may be adjusted. A change applies only to auctions that have not yet settled; the price in force at settlement is recorded and governs what you were charged.

A3. Creative Standards

A3.1 Prohibited terms

Billboard creative must not state or imply any of the following, in the image, in overlay text, or in alt text:

  • a monthly or periodic payment amount
  • a down payment amount, or that no down payment is required
  • a number of payments or a repayment period
  • an annual percentage rate, interest rate, or finance charge
  • any lease term, lease payment, or lease offer
  • any statement about credit approval, credit qualification, or financing availability
  • cash back, rebates, or trade-in allowances

These are triggering terms under the Truth in Lending Act and Regulation Z, and under the Consumer Leasing Act and Regulation M. Stating one requires disclosures that cannot be presented legibly in this format. This restriction is absolute and is enforced automatically before submission.

A3.2 Price claims

Because a billboard links to your full inventory rather than to a specific vehicle, do not advertise the price of a specific vehicle. Cal. Veh. Code § 11713.1 requires an advertised specific vehicle to be identified and actually available at the advertised price. Superlative price claims ("lowest prices," "unbeatable") require substantiation you would have to be able to produce.

A3.3 Contact details and links

Do not include phone numbers, email addresses, or web addresses. The billboard already links to your Qarvis dealership page, and routing customers around it removes the protections attached to that path.

A3.4 Rights you must hold

You represent and warrant that you own or are licensed to use every element of your creative for advertising on a third-party website, including photographs, artwork, fonts, trademarks, and any manufacturer imagery. Manufacturer press photography and stock library images are commonly licensed for your own site only. If you did not photograph it and cannot produce the licence, do not submit it.

A3.5 People in your creative

If any identifiable person appears, you warrant that you hold a signed release permitting commercial use of their likeness. California Civil Code § 3344 makes unauthorized commercial use of a likeness actionable.

A3.6 Accessibility

Every creative requires alt text describing it. This is not optional — without it the billboard is an unlabelled link for anyone using a screen reader.

A3.7 Accuracy

Everything you state must be truthful, substantiated, and not misleading. You remain solely responsible for compliance with all advertising law applicable to you, including FTC rules, state motor vehicle advertising regulations, and your franchise or manufacturer obligations.

A4. Review, Rejection, and Removal

A4.1 Every creative is reviewed

No creative runs without our approval. Approval is not an endorsement, a legal opinion, or a determination that your creative complies with any law. It does not shift responsibility for your creative to us, and it is not a defence available to you.

A4.2 Approval attaches to the file

Approval is recorded against the exact image approved. Replacing the file after approval voids the approval and the creative will not serve.

A4.3 We may decline or remove

We may decline any creative and may remove a running one at any time, with or without cause. Where we remove a creative for cause — a breach of this Addendum, a third-party complaint, a legal demand, or a violation of law — the credits spent on that placement are forfeited. Where we remove it for our own reasons or through our own fault, we credit you for the affected placement.

A4.4 We do not guarantee delivery

We do not guarantee impressions, viewers, clicks, leads, sales, or any outcome. Audience varies by city, by day, and with overall traffic to the Service. Audience figures shown while bidding are estimates from past activity, not commitments.

A4.5 Placement is our decision

We may change the placement's position, size, appearance, or presentation, and may suspend billboard placements entirely on notice, crediting any affected placements.

A5. Sponsorship Disclosure

A5.1 We label your billboard

We display a "Sponsored" label together with your dealership name and city alongside your creative. This is required so that visitors are not misled about what is advertising, and you may not submit creative that obscures, imitates, or contradicts it.

A5.2 Bidding outside your area

You may bid on any city. If you bid outside the area you serve, the disclosure will still show where you are located.

A6. Your Warranties and Indemnity

A6.1 Warranties

For every creative you submit, you warrant that it complies with this Addendum and with all applicable law, that you hold all necessary rights and releases, that every claim in it is truthful and substantiated, and that the vehicles and services it refers to are genuinely available from you.

A6.2 Indemnity

You will defend, indemnify, and hold harmless Qarvis LLC, its officers, employees, and agents from any claim, demand, investigation, proceeding, loss, liability, damage, penalty, or expense (including reasonable legal fees) arising out of your creative or your billboard advertising, including claims of intellectual property infringement, violation of publicity or privacy rights, false or deceptive advertising, or violation of advertising, lending, or leasing law. This survives termination.

A6.3 Our review does not reduce this

Our review, approval, or display of your creative does not limit A6.2 in any way.

A7. Licence to Display

A7.1 What you grant us

You grant Qarvis LLC a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt for device sizes, and display your creative on the Service for the placements you win, and to retain copies afterwards for record-keeping and dispute resolution.

A7.2 What we do not take

You keep all ownership of your creative. We will not use it for anything other than displaying and administering your placements without your consent.

A8. Credits

A8.1 Not money, not refundable

Credits are a prepaid balance for Qarvis services. They have no cash value, are not transferable, and are not refundable once spent on a won placement.

A8.2 Your balance is your responsibility

A standing bid across several cities can hold a substantial balance. Bids that would exceed your available balance are declined. Keep sufficient credits available — we are not obliged to place a bid you cannot fund, and a bid not placed for want of credits is not our failure.

A8.3 Eligibility at settlement

Your account must be verified, in good standing, and current on subscription payments at the moment an auction settles, and your creative must still be approved. A bid that fails these checks at settlement is not placed and its credits are released — you are not charged, but the placement is lost for that day.

A9. General

A9.1 Limitation of liability

The limitation of liability in the Dealer Terms applies to this Addendum. In no event will our aggregate liability for any placement exceed the credits you spent on that placement.

A9.2 Disputes

The governing law, arbitration, and dispute provisions of the Dealer Terms apply, including that disputes are arbitrated under commercial rather than consumer rules.

A9.3 Changes

We may amend this Addendum. Material changes take effect for bids placed after we ask you to accept the new version. A change does not alter the terms of an auction that has already settled.
